in mature industries where the potential for organic growth is constrained. Many companies consider mergers or acquisitions which subsequently fail to materialise, while other companies will complete either a merger
or an acquisition successful, with varying results. The process is complex and both partners to the merger or acquisition will want to
ensure that there is the potential for value to be created and that the resulting company will be greater than the sum of its parts. This will involve considering the
core operations and competences of the individual companies, their assets and the way that these will compliment or support each other. For
this reason mergers and acquisition maybe seen between companies with similar operations, or those who have divergent but complimentary actives, such as the realisation of vertical integration, as seen in
the automotive industry, or the synergies created by companies with similar, but different offerings, as seen with AOL Time Warner (Thompson, 2005). There may also be the desire to increase
market share and obtain the economies of scope and scale, this has been seen with the way Tescos has made acquisitions as well as the acquisition of Safeway by Morrison
to create a national supermarket chain. In recent months a merger that has been propped, but not yet taken place is a
merger between two of the UKs leading travel companies; Thomas Cook and MyTravel (Searjeant, 2007). To consider the viability and potential of this merger and assess whether or not it
is likely to complete and the potential results of the merger the companies need to be considered and then their motivation for the merger can be assessed.
