some who rate corporate-governance contend that insiders dominated the board (2004). Why does that matter? In the current climate, corporate governance does matter and it matters a lot. Much
of the reason why has to do with Enron. When examining the Enron case prior to the debacle, the company did get good ratings (Burr, 2004). Why?
It purportedly had suitable governance practices as it had a distinct chairman and CEO as well as a board replete with outsiders who are high profile individuals (2004). Enron seemed
to be doing everything right. However, the firm was not able to avoid executive misconduct. It seems that the set up was not fool proof after all. What happened at
Enron and how are the criminal lawsuits affecting corporate governance practices? Enron is a publicly held company that was once a top provider of electricity and gas but
had a couple of years ago filed Chapter 11 bankruptcy ("Enron," 2002). The Rival power marketer Dynegy did agree to buy Enron but when speculation about shady accounting practices
hit the media, stock prices plummeted and Dynegy quashed the deal (2002). Enrons collapse and subsequent suspicious activity such as document shredding has created a situation where Congress started
an investigation (2002). Things became dismal fast. Not only is the company in trouble, but it had created quite a poor image. The public sees the executives leaving with
