Charles River Laboratories (CRL) is attempting to work its way through whether it should enter into a $2 billion joint venture with ALPES, a Mexican company, to create a pathogen-free
(SPF) egg farm for the purposes of manufacturing vaccines. However, as with almost every business decision, there are no straightforward answers in
terms of the pros and cons of such a joint venture. Though the JV might bring some great long-term growth potential for CRL, the proposed joint venture could be a
distraction for the companys Specific Antigen-Free Avian Services, which are expanding in the United States. Furthermore, investing in a country like Mexico is uncertain, given its unstable currency and market.
Added to this, ALPES is not kicking in any money of its own, rather, its relying solely on CRLs money to finance the project.
As a member of the CRLs Board of Directors, should CRL go ahead with this proposed joint venture? Why or why not? Be prepared to argue your position.
The purpose of any kind of joint venture is to provide benefits for both companies (Delios and Beamish, 2004). If crafted properly, joint ventures can do at least as well
for both parties as do wholly owned subsidiaries (Delios and Beamish, 2004). However, when it comes to such alliances, authors such as Dyer
et al (2004) point out that there are typically three sets of factors requiring analysis to determine success: Resources and synergies; competition of the marketplace and collaborative competencies.
Ernst and Halevy (2000) also point out that alliances should allow both companies to leverage content and customers, while mitigating growth strategies risks.
