Establishing a not-for-profit charitable organization for tax purposes and constructing the necessary internal accounting systems is an exercise not lightly undertaken. The purpose here is to provide a step-by-step tutorial for completing IRS Form 1023, other federal forms required and associated forms required by New York State. Form 1023 can be used as a guide in terms of decisions, plans, structures, purpose and other items that the organization needs to undertake in the process of establishing itself as an exempt, nonprofit charitable organization. Early Decisions Organizational Structure Before reaching the point of officially becoming a legal entity, the organization needs to decide under what organizational structure it will operate. The IRS offers three choices - corporation, association and trust - each of which has its benefits and detriments. The organization will need to determine which legal and business structure best suits its intended activities. Certainly the organization can change its legal structure in the future, though the action may require dissolution of the organization and reformation of it. Such action is costly in terms of time, money and personnel, however, and does not constitute the best use of resources available to the organization.
