Doing Due Diligence Due diligence, in its most basic form, is determining whether or not the company represents a sound investment. The following should be included in any due diligence report (in no particular order). Is the market there? The investor in question needs to have a "level of confidence" when it comes to both current revenue potential and future opportunities that the market might bring (Lisle, 2003). To find this out, experts suggest conducting interviews and conversations with experts in the industry (Lisle, 2003). Management and human resources -- are they able to do the work? This goes beyond enthusiasm (though this is important) and focuses on ability, skills and motivation of the management team when it comes to reaching the financial goals (Lisle, 2003). Due diligence on management (and human capital) should also include strengths and weaknesses of individual managers, the management team or even the entire organization (Lisle, 2003). Along with this is the role that employees will play in the company -- in other words, how dependent is the company on the skills of the employees? In the case of Newco, by the way, union and trades issues would need to be addressed as welll (Levine, 2001). There also needs to be assurance that the management team can run the company, no matter what the market conditions (Levine, 2001). Can they operate the company on a shoestring?
