has been an exclusive contract for the distribution of supplies which are provided by a Korean business; Shang-wa. This exclusive agreement meant that Shang-wa would not knowingly distribute the same goods to any companies that would be setting into the same market; the United States. Over the years the chief executive officers of Lester Electronics and Shang-wa has become some friends which enhances the business relationship and has creates a high level of trust between the two men. The exclusive contract between the two firms runs for a year at a time, but has been going on for many years with constant renewals. However, as time goes by the business environment changes in the current changes are placing this exclusive contract between Lester Electronics and Shang-wa threat. This is not a reflection of the relationship between Lester and Lin, but the result of circumstances. John Lin is getting older, and he wants to retire. There is no apparent successor to take over his role within the business. In a competitive environment is not unusual for other companies to seek to grow for a strategy of merger and acquisition. This allows them to gain market share more rapidly than undertaking organic growth, and can also help with the acquisition of skills and resources (Mintzberg et al, 2003). Transnational Electronics Corporation (TEC) wants to acquire Shang-wa, and with a desire to retire Lin can see the advantages of this proposition. TEC is a much larger company in the same industry, which will have the resources to take over the company can carry on running it.
