from Gulf States Trading Company. Borden ordered steel beams from Gulf States on behalf of Metallic Building Company, which were subsequently shipped by Mercer Truck Company, listing Gulf States
as the consignor and Metallic as the consignee. Though Ferrous Co. had made a similar order for beams through Borden, no delivery had been made on that order and
Gulf States was unaware of any request on the part of Ferrous. The trucking company delivered the beams to a warehouse that is shared by both Metallic and
Ferrous. When the receiving clerk got the order, he noted that he had an order through Borden by Ferrous, but no order for beams for Metallic, who had not
made any order (e.g. the mistake in the order was made by Borden, who is not an agent of either party). Ferrous was contacted and the general manager stated
that the receiving clerk could cross out the name Metallic and write in Ferrous as the consignee. Ferrous paid Mercer Trucking and accepted delivery of the goods. Ferrous
then sold the beams and paid Borden for them, with the belief that Borden would then compensate Gulf States Trading Company for the goods. Borden, though, disappeared with the
money Gulf States subsequently attempted to sue Metallic, based on the invoice that was originally issued. Metallic informed Gulf States that Metallic had not placed an order and
that Ferrous had received an order. Gulf States subsequently sued Ferrous for the money lost and received a judgment in their favor for the cost of the beams and
