Fine Foods is an upscale specialty food store located in the San Diego metropolitan area. The three area stores have done very well, and ownership is considering expansion into other markets. The company is privately held, with three choices for expansion. Kudler can go through an IPO, acquire another company in the same organization or merge with another organization. There are many benefits and downsides to each method, as the following chart demonstrates. IPO Company Acquisition Merger Strengths Money can be raised through sale of stock to aid with capital expansion. Good way to raise capital to find more stores and buy more products for those stores. IPOs also offer a broader pool of investors and capital (Inc., 1999) Allows Kudler to enter markets without having to start from scratch. If Kudler keeps the brand name of the bought stores, it already has inroads into the market. Same as acquisition, but a merger means all the assets of the partner company are blended with Kudler, allowing for greater and faster expansion. Weaknesses "Going public" involves a huge expense and time, including a "road show" in trying to get investment institutions on board to underwrite the stock. Also, the balance sheet is at the mercy of stockholders and board of directors. The "learning curve" of integrating the bought companys brand and employees into Kudlers could be steep. Redundant operations means employees could be laid off, which could end up creating a negative image of Kudler in the community its trying to buy into. Again, same as acquisition, but with the added difficulty of trying to meld two possibly different corporate cultures.
