way investment takes place; the OECD1 recognises the need for good corporate governance practices to be in place as one of the foundation on which development can take place (OECD,
1999). For countries such as Libya that are activity seeking to attract foreign investment and develop their economies this is an important aspect of the economic packages and policies
that are in place. The OECD has seen this as one of the measures that is needed in the MENA2 region to encourage development, the role of corporative governance
in development has also been emphasised by the Financial Stability Forum, the G7, the G20 and the G22 (Fremond and Capaul, 2002). Saidi (2004) demonstrates how this is important for
Libya with the assessed low levels of financial development and low levels of financial regulation and supervision in comparison to other MENA counties and for those seeking to gain stable
economies and growth for their companies needs to provide an environment where issues such as financial disclosure, shareholder rights and the presents of independent board members all need to be
present (Oyelere and Mohamed, 2003). In order to assess the way in which improvement may be needed it is possible to consider the cooperate governance level in Libya and
compare it to a developed country, such as the UK, where there is a well developed and robustly structure corporate governance system. This provides a contrast as well as a
