International and the scandal that overtook the company in 2002; it takes Mills utilitarianism as its guide. Discussion A C.A.T. scan comprises five components: describe, discern, display, decide and defend.
In the first step, we describe how the situation arose and the key issues, individuals and groups involved. The second step, "discern," involves identifying (discerning) the most significant issue-the one
that is the underlying all the others. The "display" step allows us to identify the realistic options available to the decision makers in the scenario. The decide step identifies the
best option of those discovered in the preceding step. Finally, we have to defend the decision. In this case, were going to examine Tyco through the lens of utilitarianism, which
simply defined is the idea that whatever makes the most people the happiest, is the right course (Mill). .Not only is it right, its also the moral course (Mill).
Describe: In this case, were looking at the unethical tactics used by Tycos CEO, Dennis Kozlowski, in what appears to be an attempt to build a personal fortune. There are
a great many strands to describe in this tangled mess. First, the issues are: Tycos aggressive acquisitions policy; Kozlowskis policy to limit Tycos tax liability; the companys accounting practices; and
executive compensation. When the companys practices came under scrutiny, additional issues arose: dismantling the conglomerate; conflict of interest; divesture of stocks; and substantial losses. Discern: All these issues
seem to center on Kozlowskis desire to amass a fortune. It seems as though he acted entirely for his own gain, even misleading stakeholders about the companys position with regard
to its financial position. The "core stakeholders" are Kozlowski, Mark Swartz, Tycos CFO, and of course the employees, shareholders and other stakeholders in the company. We are looking at
